Terms of Service

The agreement between you and us when you use Mnestica. Please read it — it sets out what you can expect from the Service and what we expect from you.

Acceptance of These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Mnestica (“Mnestica,” “we,” “us,” or “our”). They govern your access to and use of Mnestica, including the website at https://mnestica.ai and all related applications, APIs, and services (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Service.

Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority where you live, you represent that your parent or legal guardian has agreed to these Terms on your behalf. You must have the legal capacity to enter into this agreement and may only use the Service in compliance with applicable law in your jurisdiction.

Your Account

You create and access your account through our authentication provider (Clerk). You are responsible for safeguarding your credentials and for all activity that occurs under your account. If you become aware of unauthorized access to your account, notify us immediately at support@mnestica.ai.

You agree to provide accurate information and to keep it up to date. A single account is for your individual use; you may not share credentials or permit anyone else to use your account.

The Service

Mnestica lets you turn notes, articles, and other source material into spaced-repetition flashcards that are scheduled for review using an SM-2-derived scheduler. The Service includes AI-assisted generation of cards, a notes knowledge graph, a reading inbox, and an on-demand “Memory Coach” that can suggest improvements to cards you choose to repair.

Subscription, Credits, and Billing

Plans

  • Free plan. New accounts receive a one-time allocation of 10 starter credits at no cost. Free credits do not renew.
  • Mnestica Pro. A recurring subscription priced at $9.99/month that grants 100 additional credits at each renewal. Unused credits roll over and do not expire. If you cancel, you keep any remaining credits for as long as your account exists.

Credits

Credits are consumed when you submit a generation job. The credit cost of each job depends on the card type and the number of cards requested, and is displayed before you confirm the job. Credits have no cash value, cannot be purchased separately from a subscription, cannot be transferred between accounts, and are not refundable except as required by law or as described in our Cancellation & Refund Policy. If a generation job fails or produces zero usable cards, we automatically return the credits charged for that job to your balance.

Payment and auto-renewal

Subscriptions are billed in advance by Stripe, our payment processor, to the payment method you provide at checkout. Unless you cancel before the end of a billing period, your subscription will automatically renew at the then-current price and your payment method will be charged each renewal. Prices are exclusive of any applicable taxes, which will be added where required.

You may cancel at any time from the Billing page inside the Service. Cancellation takes effect at the end of the current billing period; you keep your paid benefits until then and will not be charged again unless you resubscribe. We describe cancellations and refunds in full in our Cancellation & Refund Policy.

Price changes

We may change prices, plans, or the number of credits included in a plan. If we change the price of your subscription, we will give you at least 30 days’ advance notice by email. The new price will apply on your next renewal. If you do not want to pay the new price, you can cancel before it takes effect.

Failed payments

If a payment fails, we may suspend access to paid features and will retry the charge for a limited time in accordance with our payment processor’s dunning policy. If the payment cannot be collected, your subscription may be canceled.

AI-Generated Content

The Service uses third-party large language models (currently from OpenAI and Anthropic) to generate flashcards from the text you submit. You understand and agree that:

  • AI output may be inaccurate, incomplete, biased, or otherwise inappropriate for your purpose. You are responsible for reviewing generated cards before relying on them.
  • Content generated by AI is not professional advice — including medical, legal, financial, or safety advice.
  • You must not submit content that you do not have the right to submit. Copying copyrighted text from a source you are not licensed to use and submitting it for generation may infringe that copyright, and you are responsible for that use.
  • As between you and us, to the extent permitted by law you own the cards generated from your input, subject to the rights and restrictions of the underlying AI provider’s terms. You grant us the license described in “Your Content” below to store, display, and operate the Service on your cards.

Your Content

You retain all ownership and intellectual property rights in the content you create or submit through the Service, including source text, notes, decks, and cards (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and create necessary technical derivatives of Your Content solely to operate, maintain, and improve the Service for you. This license ends when the content is deleted or de-identified, except for reasonable backup retention described in our Privacy Policy.

You represent and warrant that Your Content does not infringe any third party’s rights and does not violate applicable law.

Acceptable Use

You agree not to:

  • Use the Service to violate any law or regulation, or any third party’s rights.
  • Submit, generate, or distribute content that is illegal, harassing, defamatory, sexually explicit involving minors, or otherwise prohibited.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service, except to the limited extent expressly permitted by applicable law.
  • Access the Service by any automated means not authorized by us, circumvent rate limits or access controls, or use the Service to build a competing service or to train a machine-learning model.
  • Interfere with or disrupt the integrity or performance of the Service, including by submitting malware or by probing for vulnerabilities without authorization.
  • Impersonate another person or misrepresent your affiliation.
  • Share or resell your account, or use a single account on behalf of multiple end-users.

We may suspend or terminate your access to the Service if you violate these rules, and we may remove content that does.

Our Intellectual Property

The Service, including its software, user interface, trademarks, logos, and the Mnestica name, is owned by Mnestica and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while these Terms are in effect. We reserve all rights not expressly granted.

Third-Party Services

The Service integrates third-party services (including Clerk, Stripe, OpenAI, Anthropic, Supabase, and Vercel). Your use of those services, where directly exposed to you, is governed by their own terms and privacy policies. We are not responsible for third-party services except as expressly stated.

Service Availability and Changes

We work to keep the Service available, but we do not guarantee uninterrupted availability. We may release updates, modify features, add or remove functionality, and perform maintenance. We may discontinue all or part of the Service; if we discontinue a paid feature you are actively using, we will give you reasonable notice and, where appropriate, a pro-rated refund of pre-paid fees for the discontinued period.

Termination

You may stop using the Service at any time and may contact us to request account deletion. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if continuing to provide the Service to you would create a security or legal risk. On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute provisions) will survive.

Disclaimer of Warranties

The Service and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or that AI-generated content will be accurate.

Limitation of Liability

To the maximum extent permitted by law, neither Mnestica nor its officers, directors, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the twelve months immediately before the event giving rise to the claim and (b) USD one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend, indemnify, and hold harmless Mnestica and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (i) Your Content, (ii) your violation of these Terms, or (iii) your violation of any law or a third party’s rights.

Disputes

If you have a dispute with us, contact support@mnestica.ai first so we can try to resolve it informally. If a dispute cannot be resolved informally, it will be handled in a court or forum with jurisdiction under applicable law.

Nothing in these Terms limits any mandatory rights or remedies that cannot be waived under the laws that apply to you.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-product notice before the changes take effect. If you continue to use the Service after the changes take effect, you accept the updated Terms. If you do not accept them, you must stop using the Service and may cancel your subscription before the changes take effect.

Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and our Cancellation & Refund Policy, are the entire agreement between you and us about the Service and replace any prior agreements.
  • Severability. If any part of these Terms is held unenforceable, the rest will remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party will be liable for delays or failures caused by events beyond its reasonable control.
